Welcome to AiNoted. These Terms of Service ("Terms") govern your access to and use of the AiNoted website at ainoted.com and our AI-powered note-taking service (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you are at least 18 years of age (or the age of majority in your jurisdiction) and that you have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that contain false information or violate these Terms.

3. Subscription and Billing

AiNoted offers a free demo and paid subscription plans. By subscribing to a paid plan, you agree to the following:

• Billing Cycle: Paid subscriptions are billed monthly. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.
• Payment: All payments are processed securely through Stripe. You authorize us to charge your selected payment method for the applicable subscription fees.
• Price Changes: We may change subscription prices with at least 30 days' written notice. Price changes take effect at the start of your next billing cycle after the notice period.
• Refunds: Subscription fees are generally non-refundable. If you cancel mid-cycle, you will retain access to the Service through the end of your current billing period.
• Upgrades and Downgrades: You may change your plan at any time. Upgrades take effect immediately with prorated billing. Downgrades take effect at the start of your next billing cycle.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

• Use the Service to record conversations without the consent of all parties where required by applicable law
• Upload, transmit, or process any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Attempt to gain unauthorized access to the Service, other accounts, or related systems
• Use the Service to distribute malware, spam, or phishing content
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, redistribute, or sublicense the Service without our written permission
• Use automated tools (bots, scrapers) to access the Service beyond normal usage
• Interfere with or disrupt the integrity or performance of the Service

5. Intellectual Property

The Service, including its design, code, logos, trademarks, and documentation, is owned by AiNoted and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your active subscription.

You retain ownership of any original content you create or upload through the Service. By using the Service, you grant us a limited license to process your content solely for the purpose of providing the Service to you.

6. Audio Content

You are solely responsible for the audio content you record or upload to the Service. By using AiNoted, you represent and warrant that:

• You have the legal right to record and process any audio you submit
• You have obtained all necessary consents from individuals whose voices appear in your recordings, as required by applicable laws
• Your use of the recording and transcription features complies with all applicable local, state, national, and international laws

AiNoted is not responsible for ensuring your compliance with recording consent laws. You acknowledge that recording laws vary by jurisdiction, and it is your responsibility to understand and comply with the laws applicable to your recordings.

7. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, AiNoted disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• Transcriptions, summaries, or AI analyses will be 100% accurate
• The Service will meet your specific requirements
• Any defects in the Service will be corrected

8. Limitation of Liability

To the maximum extent permitted by applicable law, AiNoted and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Service.

Our total aggregate liability for any claims related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

9. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. We may suspend or terminate your access to the Service at any time, with or without cause, including if we reasonably believe you have violated these Terms.

Upon termination:

• Your right to access and use the Service will immediately cease
• We may delete your account data, including recordings and transcriptions, within 30 days
• Provisions of these Terms that by their nature should survive termination (including limitation of liability, intellectual property, and disclaimers) will remain in effect

10. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Effective date" at the top of this page and notify registered users via email at least 30 days before the changes take effect. Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the revised Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which AiNoted operates, without regard to its conflict of law provisions.
